The Management Board of ATLANTIS SE in Tallinn hereby informs that on 30/12/2019 as a Lender concluded a Cash Loan Agreement with FON SE with its registered office in Tallinn, Estonia _number in the Ariregister register Estonia: 14617916_ as the Borrower.
Under the Agreement of 30/12/2019 The Issuer granted the Borrower a cash loan in the amount of PLN 27.259.500,00 _in words: twenty seven million two hundred fifty nine thousand five hundred_ for the period to 31/12/2024. The loan bears interest at the variable WIBOR interest rate for 1-month deposits + 0.5% .
The parties agreed that interest on the loan will be calculated on a monthly basis and will be payable once together with the repayment of the entire loan on 31/12/2024.
The parties to the loan agreement have agreed that the Issuer has the right to early repayment of all or part of the capital of the loan granted.
Pursuant to the terms of the concluded Loan Agreement the loan will be paid out on the day of conclusion of the Agreement.
The Issuer secured the repayment of the loan amount together with interest and any other claims that may arise from the concluded Agreement by receiving from the Borrower a blank promissory note together with a promissory note declaration.
The Issuer also informs that there are personal ties between ATLANTIS SE and the company FON SE in Tallinn, Estonia.
The Chairman of the Issuer’s Management Board acts as the Chairman of the Borrower’s Management Board.
In addition, three Members of the Issuer’s Supervisory Board perform the function of the Borrower’s Supervisory Board. In addition, the Issuer informs that the Issuer’s significant Shareholder _63,6%_ is also the Borrower’s major Shareholder _33,9%_.
